Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ResourceHub Media LLC ("ResourceHub Media," "we," "us," or "our"). They govern your use of the website at resourcehubmedia.com (the "Site") and, as described below, the services you buy from us. By using the Site or enrolling in our services, you agree to these Terms. If you do not agree, please do not use the Site or our services. We serve clients in the United States only.

Which agreement governs your service

Google Ads management is provided under a separate written Master Services Agreement that you sign. Where you have signed that agreement, it governs Google Ads management and controls if anything in it conflicts with these Terms.

Google Business Profile optimization, and any other service you enroll in and pay for without a separate signed agreement, are governed by these Terms. For those services, these Terms are your service agreement, and by enrolling and paying you accept the service terms below.

What we do

ResourceHub Media provides Google Ads management and Google Business Profile optimization for local home-service businesses. The content on the Site is general information only. It is not professional, legal, or financial advice, and reading it does not create a client relationship. A client relationship begins only when you enroll in a service or sign an agreement with us.

Service terms

Scope

We will provide the services described to you when you enroll. The scope is what we agree to in writing at that time. Anything not stated is not included. Advertising spend and third-party platform fees are not part of our service fee.

Fees and recurring billing

Your service fee is the amount you agree to when you enroll. Unless your written agreement says otherwise, all services are billed in advance on a recurring 30-day cycle and automatically renew every 30 days until you cancel. We accept credit card and ACH through our payment processor, Stripe. By enrolling and providing a payment method, you authorize us and Stripe to automatically charge that method for each 30-day period until you cancel. Your fee is all-inclusive: we do not add a separate surcharge for paying by credit card. Amounts and ranges shown on the Site are general information only and are not an offer or a quote.

Platform fees are separate

Google Business Profile is free from Google. Our fee is for our management and optimization service, not for the profile itself. Where we run ads, the advertising spend is billed directly to you by Google or Meta on the payment method in your own ad account. We set up your account and, with your authorization, may add your card to it, but we do not collect, hold, or control your ad budget, and we never bill you for ad spend. You are solely responsible for those platform charges. If your card on the platform fails, the platform may stop your ads, which is outside our control.

Cancellation

You may cancel at any time by emailing us at corey@resourcehubmedia.com. Cancellation stops the next renewal. The current 30-day period is not refundable, and you will not be charged for any period after the one in which you cancel.

Refunds

Except where required by law or under a separate written guarantee, service fees are not refundable. We never refund advertising spend, which you pay directly to Google or Meta.

Failed or late payment

If a payment fails, our processor will retry it. If it is not resolved within five business days, we may pause or suspend the service, and if it remains unpaid ten calendar days after the first failed charge, we may terminate the service. A pause for non-payment is not a termination until we cancel, and we are not required to perform during a pause. You agree to contact us before disputing a charge so we can resolve it directly.

Text messaging program

If you opt in, we send recurring text messages related to your inquiry, your account, and our services, up to 10 messages per month. Message and data rates may apply. Reply STOP at any time to cancel, or HELP for help, and you may opt out by any reasonable means. After you opt out we will send one confirmation message and then stop. Carriers are not liable for delayed or undelivered messages. How we handle your mobile information is described in our Privacy Policy.

Performance guarantee

We do not offer any performance guarantee on Google Business Profile optimization or on any other service governed by these Terms. Any performance guarantee we offer applies only to Google Ads management, and only on the specific terms set out in a separate written guarantee that you sign. Statements on this Site are marketing and are not a guarantee.

No guarantee of specific results

Advertising and search results depend on many things outside our control, including your market, your budget, your pricing, your reviews, your responsiveness to inquiries, and the rules and auctions run by Google and Meta. We do not promise any specific ranking, map placement, call volume, revenue, or return. Results shown on the Site are specific clients' actual results, are not typical, and are not a promise of your results.

Your responsibilities and access

• Give us accurate, current information about your business.
• Grant and maintain the manager-level access we need to do the work, for example to your Google Ads account and Google Business Profile, and keep ownership of those accounts in your name.
• Follow the rules of the platforms we work in, and make sure the services you advertise are ones you are licensed and able to provide.
• Respond to our requests in a reasonable time. Delays caused by you, or by your revoking access, do not entitle you to a refund and may pause the work.

Account and work ownership

You own your Google Business Profile and, where you have one, your Google Ads account. We work through delegated, manager-level access only. We do not require or store your account password, and you may revoke our access at any time. When the engagement ends, we remove or disassociate our access within seven business days of your request, and you keep your Google Business Profile and its content.

Ownership of Google Ads campaign assets, ad creative, and landing pages we build is governed by your signed Google Ads agreement. Those assets may remain our property and are licensed to you only for the active, paid engagement, and any landing page we host on your behalf may be taken down when the engagement ends. We keep ownership of our own internal templates, tools, and dashboards.

Confidentiality

While we work together, each of us may learn non-public information about the other, including your business details and our methods, pricing, and reports. Both of us agree to keep that information confidential, to use it only to perform under these Terms, and not to share it with others except as needed to provide the service or as required by law. This obligation continues after the engagement ends.

Non-solicitation

While we work together and for twelve months afterward, neither of us will directly solicit or hire the other's employees or contractors without the other's written consent.

Reviews and platform policies

We follow Google's policies and the Federal Trade Commission's rules on reviews and testimonials. We do not create, buy, sell, incentivize, gate, or suppress reviews, and we do not write fake reviews. Where review requests are part of your service, they go to your customers without screening by whether the review is likely to be positive or negative. You agree not to direct us to gate, fake, suppress, or otherwise manipulate reviews, and you are responsible for the accuracy and legality of the content and instructions you give us. We do not guarantee rankings or map placement and we do not claim any special status with or endorsement by Google or Meta.

Third-party platforms and suspensions

We work inside platforms we do not own or control, such as Google Ads, Google Business Profile, and Meta. Those platforms set their own policies and can change features, pricing, or account status at any time. We are not responsible for their decisions, outages, or policy changes, including the suspension or disablement of an account or profile, especially where it results from inaccurate or ineligible information you provide or from conduct you direct. We will use reasonable efforts to help with reinstatement, but we cannot guarantee it.

Intellectual property

The Site, including its text, design, and graphics, belongs to ResourceHub Media and is protected by law. You may not copy or reuse it without permission. Content in your Google Business Profile is yours. Ownership of Google Ads campaigns, ad creative, and landing pages is governed by your signed Google Ads agreement, as described under account and work ownership above. You grant us permission to use de-identified, anonymized, or aggregated results and case studies from our work in our marketing.

Acceptable use

Do not use the Site to break the law, interfere with how it works, try to gain access you are not authorized to have, or submit false information or spam through our forms.

Disclaimer of warranties

The Site and our services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or any service will be uninterrupted or error free.

Limitation of liability

To the fullest extent allowed by law, ResourceHub Media will not be liable for any indirect, incidental, special, or consequential damages, or for any lost profits or revenue. For claims arising out of your use of the Site, our total liability will not exceed one hundred U.S. dollars. For claims arising out of our paid services, our total liability will not exceed the service fees you paid us in the three months before the claim.

Indemnification

You agree to defend and hold ResourceHub Media harmless from claims and costs arising out of your misuse of the Site, your breach of these Terms, the information or instructions you give us, or your own conduct on third-party platforms.

Dispute resolution

Most concerns can be resolved by contacting us first, and you agree to reach out before starting any formal proceeding. If we cannot resolve a dispute informally, the parties agree to attempt mediation before filing suit. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Stark County, Ohio, and both parties consent to the personal jurisdiction of those courts. Either party may still bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect its intellectual property or account access.

Governing law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Subject to the dispute resolution section above, any dispute will be handled in the state or federal courts located in Stark County, Ohio.

General

These Terms, together with any agreement you sign with us, are the entire agreement between you and us about the Site and services, and they replace any prior statements or promises. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a term once does not waive it later. You may not assign these Terms without our consent, and we may assign them, for example if the business is sold or merged. We are not liable for delays or failures caused by events outside our reasonable control, including platform outages, internet failures, and acts of nature. The sections on ownership, disclaimers, limitation of liability, indemnification, and dispute resolution survive the end of your use of the Site or services. We may give you notice by email or to the address on file, and you may send us notice at the contact details below.

Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "last updated" date above. For active clients, continued use of the service after a change means you accept the updated Terms.
